WSJ 若林大介記者の報じた GT Advanced Technologies（GTAT）破産の内幕は実にドラマチックだ。

But there’s one particularly interesting stat that explains why Apple and GTAT even bothered in the first place. Apple is already consuming “one-fourth of the world’s supply of sapphire to cover the iPhone’s camera lens and fingerprint reader,” Wakabayashi writes.

That is impressively high—and about to get a whole lot higher. Sure, Apple could sell 200 million fingerprint-reading iPhones and iPads next year, but such readers are relatively small. Imagine the volumes when the company starts making watches with sapphire displays, and iPhones with sapphire screens.

破産裁判をきっかけに公開された GT Advanced Technologies［GTAT］とアップルとのサプライヤー契約はなかなか興味深い。

Squiller がいうには、アップルはサプライヤーとは交渉しないから、GTAT のマネージャーは交渉に「ムダな時間を割く」べきではないと一切交渉に応じようとはしなかった。GTAT が二の足を踏むと、アップルの条件は他のアップルサプライヤーとも共通なので、「子供じみたことはやめて（put on your big boy pants）［注］さっさとサプライヤー契約を受け入れろ」といったという。
［注］big boy pants/big girl panties はオムツを卆業した子供がはくパンツ。そこからもう大人らしく振る舞えとの意。

Squiller says that Apple did not ever really enter into negotiations, warning that GTAT’s managers should “not waste their time” negotiating because Apple does not negotiate with its suppliers. According to GTAT, after the company balked, Apple told GTAT that its terms are standard for other Apple suppliers and that GTAT should “put on your big boy pants and accept the agreement.”

Because most of Apple’s hardware suppliers are based in Asia, it’s hard to tell whether the details described in the GTAT contracts with Apple are standard, but it’s not hard to believe that Apple has a lot of power over its suppliers and largely gets to dictate its terms.

Some of the terms include:

加えて、有名なアリゾナ州 Mesa 工場はアップルローンの仕組み上 GTAT の関与なしに作られたので、絶対に必要なバックアップ発電機は高価すぎるという理由で見送られたという。また Mesa 工場には「一定の権限を有する」アップルの社員が配置されていたが、GTAT 社員をこき使わないように注意する必要があった。

In addition, because of the way the loan was structured, the famous Mesa, Arizona plant was allegedly built without GTAT’s input, which resulted in the decision to forgo essential backup power generators because they were too expensive. Apple also embedded its own employees at the Mesa plant who “assumed a level of authority” and had to be reminded not to order GTAT employees around.

炉を売る話から製造して納入する話へ

Squiller によれば、当初アップルは GTAT からサファイア炉を買うという話だったが、結局は別の契約をオファーした。GTAT がアップルからの借入金でサファイア炉の部品を購入し、サファイアクリスタルを製造してアップルに納入するというものだ。更にまたアップルは GTAT が他の家電メーカーないしはそのサプライヤーとビジネスを行なうことを禁じた。

Squiller said that initially Apple wanted to purchase sapphire furnaces from GTAT, but ended up offering a different deal: A new structure where GTAT borrowed money from Apple to purchase sapphire furnace components in order to supply Apple with sapphire crystal. Apple also prohibited GTAT from doing business with other manufacturers or suppliers working in consumer electronics.

Squiller は宣誓供述書の中で、アップルのやり方が「典型的なおとり商法」（classic bait-and-switch strategy）そのもので、最終契約は「負担加重で非常に一方的」なものだったといっている。さらに悪いことに、アップルがサファイアクリスタルを次期製品で使用しない場合は — 現に GTAT のサファイアは iPhone 6 では使われなかった — 、GTAT は借金の全額を現金で返済する必要があった。

In his statement, Squiller called Apple’s tactics a “classic bait-and-switch strategy” and described the final agreement as “onerous and massively one-sided.” Making things worse for GTAT, if Apple decided not to use sapphire crystal in upcoming products — GTAT sapphire is not used in the iPhone 6 — GTAT would be required to fully repay the loan in cash.

GTAT must accept and fulfill any purchase order placed by Apple on the date selected by Apple. If there is any delay, GTAT must either use expedited shipping (at its own cost) or purchase substitute goods (at its own cost). If GTAT’s delivery is late, GTAT must pay $320,000 per boule of sapphire (and $77 per millimeter of sapphire material) as liquidated damages to Apple. To put this figure in perspective, a boule has a cost of less than $20,000. Apple, however, has the right, without compensating GTAT, to cancel a purchase order in whole or in part at any time and reschedule a delivery date at any time.

Court filings made by GT Advanced Technologies have already revealed that Apple imposes a $50 million penalty “per occurrence” for leaking any information about an upcoming, unannounced product. The fine was first reported on Monday by the Financial Times.

Even more could come to light as GT Advanced’s bankruptcy proceedings carry on, as the company argued in court last week that even more information about its relationship with Apple should be published. The company also hinted that the terms of Apple’s contract were unreasonable, referring to them as “oppressive and burdensome.”

In the filing, GT Advanced noted that even the confidentiality agreement between the two companies is identified as “confidential.” It has asked for permission to disclose the details of its agreement in the interest of creditors, equity holders and other stakeholders, as well as “to ensure an open, transparent and fair process.”

先週の GT Advanced の破産申請発表は、アップルにとってすら大きな驚きだった。GT Advanced はアリゾナとマサチューセッツにある工場を閉鎖することにしているが、890 人の職が失われることになる。しかしアップルは地元の雇用が維持できるよう注力するといっている。

The sapphire maker announced one week ago> that it had filed for bankruptcy — a move that came as a major surprise, even to Apple. GT Advanced plans to close its plants in both Arizona and Massachusetts, which could cost a total of 890 jobs, though Apple has said its focus is on preserving the jobs it helped create in Arizona.

WSJ によれば、GT Advanced の話はなかなか複雑のようだ。

アップルの求める品質のサファイアを提供できず、融資の最終払い込みをアップルが行なわなかったとき、アリゾナの Mesa 工場のトップでもある GT Advanced の COO は多数の自社株を売抜けたという。

COO のみならず同社の CEO までもが破産申請前に多数の自社株を売っていた。

サファイア製造設備の販売から製造事業にまで手を広げた GT Advanced だったが、早くも２月の時点でアップルの要求を充たせないことが分かっていたようだ。

「自分の仮説はこうだ」と Mark Hibben［Seeking Alpha］はいう。「GT Advanced は Mesa 工場のために大型試験炉を作る約束をした。これがそもそもトラブルの始まりだった。大型炉によって大量生産によるコスト削減が可能と考えたのだ。しかしこの炉で作ったサファイアはアップルの基準を充たすものではなかった。」

My working hypothesis,” he writes, “is that GTAT committed to the larger experimental furnaces for the Mesa plant, and this is how they got themselves into trouble. They built the larger furnaces assuming that they would realize production scale economies and then discovered that the quality of the sapphire produced by the furnaces wouldn’t meet Apple’s requirements.”

米国内にアップルの新工場がもうひとつ

米国の最新鋭 Mac Pro 工場が話題になったばかりだが、もうひとつの新しいアップル国内工場が話題になっている。

“We are proud to expand our domestic manufacturing initiative with a new facility in Arizona, creating more than 2,000 jobs in engineering, manufacturing and construction,” Apple told Pocket-lint in a statement. “This new plant will make components for Apple products and it will run on 100% renewable energy from day one, as a result of the work we are doing with SRP to create green energy sources to power the facility.”

新工場の目的についてアップルははっきりと述べてはいないが、GT Advanced は「サファイア素材を供給することでアップルと複数年契約を結んだ」といっている。サファイアは、iPhone 5S の Touch ID 指紋認証センサーやカメラのレンズなど、アップル製品ではふんだんに使われている。アップルのいう「部品」ということばはこれとうまく当てはまる。

The purpose of the factory hasn’t been named specifically by Apple, though GT Advanced says it has entered “into a multi-year supply agreement with Apple Inc. to provide sapphire material.” Sapphire is used abundantly in Apple products, including the Touch ID fingerprint sensor and camera lens in the iPhone 5S. This gels nicely with the word about “components” Apple gave us.

サファイアディスプレイの可能性？

もうひとつの可能性はサファイアのディスプレイだ。サファイアはゴリラガラスより硬く、キズがつきにくい。

Another possible use: sapphire displays. Sapphire is harder than Gorilla Glass, and thus more scratch resistant.

MacRumors はこの夏、スイスのサイトが行なった Vertu 社役員のインタビューに関する記事を載せている。同役員はアップルがサファイアディスプレイの研究をし、（併せて Vertu 社の設計経験を有する従業員を採用し）たと主張している。

MacRumors had a piece over the summer regarding a Swiss news site’s interview with an executive from Vertu, who claimed Apple had investigated sapphire displays (and recruited Vertu employees with experience designing them):

（Vertu 社の COO）Oosting によれば、結局アップルはサファイアプロジェクトを棚上げした。アップルが現時点で必要とする数量を製造するのに適していないというのがその理由だった。

According to Oosting, Apple ultimately shelved the sapphire project because the material is unsuitable for production in the numbers that Apple requires at the current point in time.

その可能性もありかも・・・
